1. Acceptance of Terms
Welcome to Optimus Edge ("we," "us," "our," or the "Platform"), based in Israel. By accessing or using the Optimus Edge website, application, and any related services (collectively, the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you must not access or use the Service.
You represent that you are at least 18 years of age and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.
These Terms constitute a legally binding agreement between you and Optimus Edge. By creating an account, subscribing to a plan, or otherwise using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference.
2. Description of Service
Optimus Edge is a trading journal and analytics platform designed to help traders track, analyze, and improve their trading performance. The Service includes, but is not limited to:
- Trade Tracking & Journaling— manual entry and automated import of trade data from Interactive Brokers (IBKR) via XML upload or Flex Query API
- Analytics & Performance Metrics— KPI dashboards, calendar heatmaps, equity curves, and statistical analysis of trading performance
- Strategy Tagging— custom tagging and categorization of trades by strategy
- AI-Powered Features— AI trade coaching, chart analysis, market alerts, market scanner, and portfolio coaching (available on paid subscription tiers)
- Cloud Sync & Backup— secure cloud storage and synchronization of trade data (available on paid subscription tiers)
- Data Export— ability to export your trade data
Important Notice
Optimus Edge is NOT a broker, broker-dealer, financial advisor, investment advisor, or any other type of financial services provider. We do not execute trades, hold funds, provide investment recommendations, or manage portfolios. The Service is a software tool for personal trade tracking and analysis only. Any AI-generated content is for educational and informational purposes and does not constitute financial advice.
3. Account Registration & Security
To use the Service, you must create an account using Google Sign-In. By creating an account, you agree to:
- Provide accurate and complete information associated with your Google account
- Maintain the security and confidentiality of your account credentials
- Accept responsibility for all activities that occur under your account
- Notify us immediately at support@optimus-edge.com if you suspect unauthorized access to your account
- Not create multiple accounts or share your account with others
We reserve the right to suspend or terminate accounts that violate these Terms, are fraudulently created, or that have been inactive for an extended period. We are not liable for any loss or damage arising from your failure to maintain the security of your account.
4. Subscription Plans & Billing
4.1 Available Plans
The Service is offered under the following subscription tiers:
- Basic (Free)— cloud-synced trade tracking, basic analytics, and limited access to AI features (chart analysis, trade analysis, and market insights) with daily usage caps. No payment required
- Pro— $12/month or $96/year (20% discount), including unlimited trades, IBKR API integration, full analytics, higher AI usage limits for chart analysis, trade analysis, and market alerts
- Edge— $200/year, including everything in Pro plus AI Trade Coach, portfolio coaching, maximum AI usage limits, and priority support
Feature availability and usage limits are subject to your subscription tier. We reserve the right to modify plan features, pricing, and tier structures at any time with reasonable advance notice.
4.2 Billing & Auto-Renewal
Paid subscriptions are billed in advance on a monthly or annual basis, depending on the plan selected. Subscriptions automatically renew at the end of each billing cycle unless cancelled before the renewal date.
4.3 Cancellation
You may cancel your subscription at any time through your account settings. Upon cancellation:
- Your paid features will remain accessible until the end of your current billing period
- Your account will automatically revert to the Basic (Free) tier at the end of the paid period
- Refunds are available only as described in Section 4.4 (Refund Policy)
- Cloud-synced data will remain stored but will not be actively synced until you re-subscribe
4.4 Refund Policy
- Annual Plans: You may request a full refund within seven (7) days of your initial purchase or renewal date. After the 7-day window, no refunds will be issued for the remainder of the annual period
- Monthly Plans: Monthly subscriptions are non-refundable. You may cancel at any time, and your access will continue until the end of the current billing cycle
- Approved refunds will be processed to your original payment method within fourteen (14) business days
- To request a refund, contact us at support@optimus-edge.com with your account email and reason for the request
4.5 Price Changes
We may change subscription pricing at any time. Price changes will not apply to your current billing period. We will provide at least 30 days' notice before any price increase takes effect on your next renewal.
4.6 Early Access & Founding Member Program
The Service is currently offered under an Early Access promotional period, during which registered users receive full-feature access at no cost. This early access period is a limited-time promotional offer and does not constitute a permanent entitlement to free access.
When the early access period concludes:
- We will provide at least thirty (30) days' notice before the transition takes effect
- You will be required to select a subscription tier: Basic (Free), Pro, or Edge, as described in Section 4.1
- If you do not select a tier within the transition period, your account will automatically be placed on the Basic (Free) tier
- Users who joined during the early access period ("Founding Members") will receive priority access to paid tiers and discounted founding-member pricing, the details of which will be communicated before the transition
- Founding-member pricing is personal, non-transferable, and applies only to the original account holder
We reserve the right to end the early access period at any time, subject to the notice requirements above. Continued use of the Service after the transition constitutes acceptance of your selected (or default) subscription tier and its associated terms.
5. Acceptable Use Policy
You agree not to:
- Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code of the Service
- Use automated scripts, bots, or scrapers to access the Service beyond the provided APIs and interfaces
- Share, sell, or transfer your account or account credentials to any third party
- Use the Service to facilitate any illegal activity, including but not limited to insider trading, market manipulation, money laundering, or any violation of securities laws
- Interfere with, disrupt, or place an unreasonable burden on the Service or its infrastructure
- Upload malicious content, viruses, or harmful code through any feature of the Service
- Attempt to gain unauthorized access to other users' accounts or data
- Use the Service in any manner that could damage, disable, or impair its functioning
- Misrepresent your identity or affiliation with any person or organization
- Resell, redistribute, or commercially exploit the Service or any AI-generated content without our prior written consent
Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account, at our sole discretion, without prior notice or refund.
6. AI Features & Disclaimer
AI Content Is Not Financial Advice
The AI-powered features of the Service, including but not limited to AI Trade Coach, AI Chart Analysis, Market Alerts, Market Scanner, Portfolio Coaching, and AI-generated insights, are provided solely for educational and informational purposes.
By using AI features, you acknowledge and agree that:
- AI-generated content, analysis, insights, alerts, and recommendations do NOT constitute financial advice, investment advice, trading advice, or any other form of professional advice
- AI outputs are generated by third-party artificial intelligence models and may contain errors, inaccuracies, or outdated information
- We make no representations or warranties regarding the accuracy, completeness, reliability, timeliness, or usefulness of any AI-generated content
- AI outputs may be cached and served from previous analyses, and may not reflect real-time market conditions
- Pattern recognition, technical analysis, and market signal categorization performed by AI have inherent limitations and are not guaranteed to predict future market movements
- You are solely responsible for any trading decisions you make, and you should always conduct your own research and consult a qualified financial professional before making investment decisions
- AI features are subject to daily and weekly usage limits based on your subscription tier, which may change at our discretion
Under no circumstances shall Optimus Edge be liable for any trading losses, financial losses, or damages of any kind arising from your reliance on AI-generated content provided through the Service.
7. Financial & Trading Disclaimer
IMPORTANT: Trading stocks, options, futures, forex, and cryptocurrencies involves substantial risk of loss and is not suitable for every investor. Past performance is not indicative of future results. You should be aware of the risks and be willing to accept them in order to trade in these markets.
You expressly acknowledge and agree that:
- Optimus Edge is not a registered investment advisor, broker-dealer, or financial planner, and does not provide investment advisory services
- The Service does not recommend, endorse, or suggest any specific securities, trading strategies, or investment decisions
- All profit and loss (P/L) data displayed in the Service is sourced directly from Interactive Brokers' reporting systems (specifically the
fifoPnlRealizedfield) and is presented as-is — we do not independently calculate or verify P/L figures - Past performance displayed in the Service, whether yours or any aggregate data, does not guarantee future results
- You are solely responsible for your own trading decisions, and any trades placed in your brokerage account are entirely at your own risk
- Optimus Edge bears no responsibility or liability for any financial losses, missed opportunities, or adverse trading outcomes that may occur while using the Service or based on information displayed within it
- Market data displayed within the Service (including AI alerts and scanner results) is point-in-time data and should not be considered real-time market data
8. Data & Privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, store, and protect your personal information and trade data. Key points include:
- We collect account information via Google Sign-In, trade data you import or enter, and usage analytics
- Your IBKR credentials (Flex Token and Query ID), if provided, are stored securely and used solely to retrieve your trade data on your behalf
- Cloud-synced data is stored in secure infrastructure with row-level security ensuring data isolation between users
- All tiers, including Basic (Free), store data in our secure cloud infrastructure to enable AI features and cross-device access
- We do not sell, rent, or share your personal trade data with third parties for marketing purposes
9. Interactive Brokers Integration
The Service provides integration with Interactive Brokers (IBKR) for trade data import. By using this integration, you acknowledge and agree that:
- Optimus Edge is not affiliated with, endorsed by, or partnered with Interactive Brokers LLC or any of its subsidiaries. "Interactive Brokers" and "IBKR" are trademarks of Interactive Brokers LLC
- You must maintain your own active Interactive Brokers account to use this integration
- You authorize Optimus Edge to retrieve your trade data via the IBKR Flex Query system using credentials you provide
- The accuracy, completeness, and timeliness of data retrieved from IBKR depends entirely on IBKR's systems, and we are not responsible for any errors, omissions, or delays in IBKR data
- You are solely responsible for safeguarding your IBKR Flex Token and Query ID, and you understand that these credentials provide read-only access to your trade reports
- We process IBKR data through secure server-side infrastructure (not directly from your browser) to ensure security and compliance
- Changes to IBKR's API, Flex Query system, or data format may temporarily or permanently affect the integration, and we are not responsible for any disruption caused by third-party changes
10. Third-Party Services
The Service relies on and integrates with various third-party services, including but not limited to:
- Google— for account authentication via Google Sign-In
- Anthropic (Claude AI)— for AI-powered analysis and coaching features
- Interactive Brokers— for trade data retrieval
- Infrastructure providers— for hosting, database, and serverless computing
We are not responsible for the availability, performance, accuracy, or policies of these third-party services. Outages, changes, or discontinuation of any third-party service may impact the availability or functionality of certain features of the Service. Your use of third-party services is subject to their respective terms of service and privacy policies.
11. Intellectual Property
11.1 Our Intellectual Property
The Service, including its design, code, algorithms, graphics, logos, trademarks, user interface, and all related intellectual property, is owned by Optimus Edge and is protected by applicable intellectual property laws. You may not copy, modify, distribute, sell, or create derivative works of any part of the Service without our prior written consent.
11.2 Your Data
You retain full ownership of all trade data, journal entries, and other content you upload or enter into the Service ("User Content"). By using the Service, you grant us a limited, non-exclusive, revocable license to process, store, and display your User Content solely for the purpose of providing the Service to you. This license terminates when you delete your data or close your account.
12. User Content & Data Portability
We believe you should have control over your data. Accordingly:
- You may export your trade data at any time using the export features available in the Service
- You may request deletion of your account and all associated data by contacting us at support@optimus-edge.com
- Upon account deletion, we will remove your data from active systems within a reasonable timeframe, subject to any legal retention requirements
- AI-generated content (such as trade feedback and chart analyses) associated with your account will be deleted along with your account
13. Service Availability & Modifications
We strive to provide reliable and continuous access to the Service, but:
- We do not guarantee uninterrupted, error-free, or secure access to the Service at all times
- The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control
- We reserve the right to modify, update, suspend, or discontinue any feature or aspect of the Service at any time, with or without notice
- We reserve the right to change AI usage limits, subscription features, and functionality at our discretion
- We are not liable for any loss or inconvenience arising from Service downtime or modifications
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OPTIMUS EDGE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, AND LICENSORS SHALL NOT BE LIABLE FOR:
- Any trading losses, financial losses, or investment losses of any kind, whether direct or indirect, arising from your use of the Service
- Any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, revenue, business opportunities, or goodwill
- Any damages arising from reliance on AI-generated content, including trade coaching, chart analysis, market alerts, or any other AI feature
- Any damages resulting from errors or inaccuracies in data imported from IBKR or any other source
- Any damages caused by unauthorized access to your account resulting from your failure to maintain account security
- Any damages arising from third-party service outages, modifications, or discontinuation
IN NO EVENT SHALL OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE EXCEED THE TOTAL AMOUNT OF SUBSCRIPTION FEES PAID BY YOU TO OPTIMUS EDGE DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.
THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ACCURACY. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS OR THAT IT WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.
15. Indemnification
You agree to indemnify, defend, and hold harmless Optimus Edge and its officers, directors, employees, agents, affiliates, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:
- Your use of or inability to use the Service
- Your violation of these Terms
- Your trading activities, trading decisions, or financial losses, regardless of whether they were informed by information obtained through the Service
- Your violation of any applicable law, regulation, or third-party rights
- Any dispute between you and Interactive Brokers or any other third-party service
- Any content or data you submit, post, or transmit through the Service
16. Termination
16.1 Termination by You
You may terminate your account at any time by contacting us at support@optimus-edge.com. If you have an active paid subscription, cancellation will take effect at the end of your current billing period.
16.2 Termination by Us
We may suspend or terminate your account and access to the Service at any time, with or without cause, and with or without notice, including but not limited to:
- Violation of these Terms or the Acceptable Use Policy
- Fraudulent, abusive, or illegal activity
- Extended period of inactivity
- Failure to pay subscription fees (for paid plans)
- At our sole discretion if we believe your use of the Service poses a risk to us, other users, or third parties
16.3 Effect of Termination
Upon termination: (a) your right to access the Service ceases immediately; (b) we may delete your account data after a reasonable retention period; (c) you may request export of your data prior to termination; (d) any accrued rights or obligations (including Sections 6, 7, 11, 14, 15, and 17) shall survive termination.
17. Governing Law & Dispute Resolution
17.1 Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Israel, without regard to its conflict of law provisions.
17.2 Dispute Resolution
Any dispute, controversy, or claim arising out of or relating to these Terms or the Service shall first be attempted to be resolved through good-faith negotiation between the parties for a period of at least thirty (30) days.
If the dispute cannot be resolved through negotiation:
- Users located in Israel: The dispute shall be submitted to the exclusive jurisdiction of the competent courts in Tel Aviv-Jaffa, Israel
- Users located outside Israel: Either party may elect to resolve the dispute through binding online arbitration administered under the rules of the International Chamber of Commerce (ICC). The arbitration shall be conducted in English by a single arbitrator. If neither party elects arbitration, the competent courts in Tel Aviv-Jaffa, Israel shall have exclusive jurisdiction
17.3 Class Action Waiver
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, YOU AGREE THAT ANY DISPUTE RESOLUTION PROCEEDINGS WILL BE CONDUCTED ONLY ON AN INDIVIDUAL BASIS AND NOT IN A CLASS, CONSOLIDATED, OR REPRESENTATIVE ACTION. YOU WAIVE ANY RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION.
18. Changes to These Terms
We reserve the right to modify these Terms at any time. When we make material changes, we will:
- Update the "Last Updated" date at the top of this page
- Provide notice through the Service (such as a banner or notification) or via email to the address associated with your account
- Give you at least 14 days' notice before material changes take effect
Your continued use of the Service after the effective date of any changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Service and may terminate your account.
19. General Provisions
- Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Optimus Edge regarding the Service and supersede all prior agreements
- Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions shall remain in full force and effect
- Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision
- Assignment: You may not assign or transfer your rights under these Terms without our prior written consent. We may assign our rights without restriction
- Force Majeure: We shall not be liable for any failure or delay in performing our obligations due to circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, pandemics, power outages, internet disruptions, or government actions
- Headings: Section headings are for convenience only and do not affect the interpretation of these Terms
